ReferX Terms and Conditions:

1. Definition

   For the purposes of ReferX, the following definitions shall apply:

   1. "Radium": Refers to Radium Development Berhad (“Radium”), including its subsidiaries and associates.
   2. "RadiumX": Refers to mobile application run by Radium.
   3. "ReferX": Refers to the Referral Reward Programme by Radium. ReferX offers rewards to Radium Ambassador who successfully refers new customer (Referred Customer) that purchases properties (Referred Property) from Radium. By participating in ReferX, Radium Ambassador are not conducting any sales activities but merely act as a referral/introducer.
   4. "ReferX Period": The duration of the ReferX Period is determined and fixed by Radium from time to time pursuant to the list of developments by Radium.
   5. "Radium Sales Staff": Radium employed sales personnel.
   6. "Radium Ambassador": Eligible individual who participates in the ReferX by referring Referred Customer to Radium. Despite bearing label as Radium Ambassador, he/she is not an employee of Radium.
   7. "Referred Customer": A new customer who is referred by a Radium Ambassador and who subsequently purchases a property from Radium.
   8. "Referred Property": The property subsequently purchased by the Referred Customer.
   9. "Referral": The act of recommending or introducing a Referred Customer to Radium by a Radium Ambassador based on the terms and conditions set out in ReferX Terms and Conditions.
   10. "Referral Registration": The process of registering a Radium Ambassador through RadiumX, ensuring the proper tracking and crediting of Radium Ambassador as well as Referred Customer.
   11. "Sale and Purchase Agreement (SPA)": A legally binding contract between Radium and the Referred Customer for the purchase of Referred Property.
   12. "Loan Agreement": A contract between the Referred Customer and the end-financier for financing the purchase of the Referred Property.
   13. "End-Financier": The financial institution that provides a loan to the Referred Customer for the purchase of the Referred Property.
   14. "Nett Purchase Price": The final purchase price of the Referred Property after all applicable deductions and discounts/rebates, if any.
   15. "Reward": The monetary benefit/other form of remuneration provided to Radium Ambassador for successful Referred Customer, calculated at a percentage of the nett purchase price of the Referred Property.

2. Eligibility as "Radium Ambassador"

   1. Anyone aged 18 years old and above;
   2. Not adjudicated bankrupt;
   3. Must have successfully gone through the Referral Registration;
   4. Must have agreed to be bound by the terms and conditions entitled Radium Ambassador's declaration, confirmation, and undertaking and ReferX Terms and Conditions;
   5. Radium Sales Staff is excluded from ReferX;
   6. All Radium Ambassadors must register his/her Referred Customer through RadiumX before he/she can proceed further;
   7. The sale and purchase transaction must be concluded by Radium Sales Staff and not an external property agent;
   8. The Referred Customer must approve the application of the Radium Ambassador; and
   9. If there are multiple Radium Ambassadors referring the same Referred Customer, the successful Radium Ambassador would be the one approved by Referred Customer.

3. Successful Referral

   A Referral is considered successful when the following conditions are met:

   1. Referred Customer has executed SPA with witness’ execution and the same has been stamped;
   2. Referred Customer has fully paid the initial deposit (10% of the purchase price) and the Loan Agreement has been stamped;
   3. For property with end financing, the first disbursement from the End-Financier is received (minimum of 10% has been collected by Radium together with another 10% from end financier); or for cash purchases, 20% of the purchase price is paid;

4. Reward Structure

   Subject to compliance of Clauses B and C herein above stated, the successful Radium Ambassador will receive Reward of up to 0.5% of the Nett Purchase Price of the Referred Property. The exact percentage will be determined by Radium and varies from project to project. Radium Ambassador are encourage to confirm the precise reward for each individual project by consulting with Radium Sales Staff. It is important to note that the Reward is non-transferable, non-exchangeable, and can only be claimed by the Radium Ambassador. Furthermore, Radium retains full discretion in determining how the Reward shall be calculated and such decision are to be treated as final and conclusive.

5. Reward and Taxation

   Reward will be issued upon fulfilment of Clauses B and C (‘Successful Referral’) herein above stated which is subjected to Clause D (‘Reward Structure’) herein above stated. Radium Ambassador shall take full responsibility for compliance of all taxation matters for the time being in force. Radium shall not be accountable for any outstanding tax imposed on the reward payable by Radium Ambassador.

6. General

   1. Radium Ambassador and/or Referred Customer agrees to comply with all applicable laws and regulations for the time being in force.
   2. Radium Ambassador cannot participate in multiple programs simultaneously .
   3. Failure to adhere to all the ReferX terms and conditions herein shall result in disqualification of Radium Ambassador from ReferX.
   4. The decision of Radium shall be final and binding on all Radium Ambassador. No appeal shall be entertained. Radium reserves the absolute right to suspend, withdraw, cancel and/or terminate ReferX at any time without prior notice. Radium also reserves the right to update, change, alter, amend, modify, vary, substitute any of these ReferX terms and conditions at Radium sole discretion and/or as may be required under any relevant rules, regulations, orders, ordinance, laws, by-laws, authorities at any time without prior notice. Radium Ambassador is responsible for regularly checking for updates to ensure they are informed of any changes.
   5. Radium Ambassador and/or Referred Customer consents to the collection, use and disclosure of their personal data by Radium in accordance with the Personal Data Protection Act 2010. This includes sharing data with relevant governmental authorities or third parties where required by law. By providing the personal information upon registration, Radium Ambassador and/or Referred Customer are providing consent and are agreeable to the usage of their personal information by Radium, including but not limited to names, contact and images, in accordance with the Radium Privacy Policy.    6. The download and installation of RadiumX is solely at the discretion and responsibility of Radium Ambassador. Radium shall not be responsible or liable for any problems/issues or technical malfunction related to internet broadband networks or connections, computer online systems, servers or providers, computer equipment/hardware or software, including but not limited to failure to complete submission of the Referred Customer on account of technical problems or traffic congestion on the internet or at any other person’s computer related or the Radium Ambassador’s inability, difficulty or failure to access any electronic site for submission of the Referral Registration.
   7. Radium Ambassador and/or Referred Customer shall fully indemnify and hold harmless, Radium from and against any and all claims, demands, actions, liabilities, damages, losses, penalties, fines, costs (including but not limited to legal fees and expenses), or other expenses, whether direct or indirect, arising out of or in connection with any breach of applicable laws, bylaws, orders, rules, regulations, or any other legal obligations including but not limited to taxation matters, related to any information, documentation or materials provided by Radium Ambassador and/or Referred Customer to Radium. Radium Ambassador and/or Referred Customer further warrant that the information shared with Radium is accurate, lawful and does not infringe upon any third-party rights or violate any legal or regulatory requirements currently in force.
   8. By scanning the QR code generated by Radium, the Radium Ambassador and/or Referred Customer acknowledges and agrees to assume full responsibility for the distribution, use and any consequences arising from the QR code, particularly in relation to gathering sales leads. Radium Ambassador and/or Referred Customer further agrees to indemnify, defend, and hold, Radium harmless from any and all claims, actions, damages, losses, liabilities, penalties, fines, costs, and expenses (including but not limited to legal fees and expenses) arising from the misuse, misappropriation, or unauthorized use of the QR code. Radium Ambassador and/or Referred Customer also acknowledges and consents to being redirected to the official RadiumX website in connection with ReferX, understanding that they are solely responsible for any actions taken on the RadiumX website including interactions with its content or services. In the event of redirection to any website other than the official RadiumX website, Radium Ambassador and/or Referred Customer agrees to immediately delete such website from their device and take all necessary precautions to mitigate any potential risks associated with the redirection. This indemnity applies regardless of whether the claims, damages, or losses are direct or indirect, and extends to any third-party websites or services resulting from such redirection, including all associated claims, demands, actions, liabilities, damages, or costs, including legal fees and expenses.
   9. Radium Ambassador and/or Referred Customer have read, understood, consented and agreed to be bound by the above ReferX Terms and Conditions.
   10. Radium Ambassador and/or Referred Customer hereby acknowledge and agree that it is their sole responsibility to periodically review the Terms and Conditions to remain informed of any updates, amendments or modifications that may impact their use of RadiumX. I/We fully understand that any continued use of RadiumX constitutes our acceptance of and agreement to, any revised or modified Terms and Conditions and I/We further agree that failure to review such terms shall not excuse our obligation to comply with the most current version.

7. Language

   In the event of any discrepancies or contradictions between the English version and Bahasa Malaysia version, the English version shall prevail.
